Terms & Conditions

  1. Contract. Your approval (either verbal or written/email) for work to commence is deemed a contractual agreement between you the client and Hallworth Design. Approval for the work to commence and payment of the advance fee indicates that you accept our Terms and Conditions.
  2. Quotes. Our price is for the work listed on the quote. If you decide that changes are required after work on the website commences, then we will accept these changes with the provision that additional charges may have to be negotiated. Quotes are valid for thirty days.
  3. Cancellation. Should you wish to cancel at any point you will be liable only for the work that has already taken place and shall be invoiced accordingly.
  4. Advance payment. An advance of 50% of the total cost of the project is required before work can commence, unless agreed otherwise. After work commences this is non-refundable.
  5. Payment. Once the work has been completed the final balance of payment is due. Payment can be made by cheque or electronic transfer, in UK pounds. We will pass on the costs of any returned cheques. Sites hosted by Hallworth Design will be made live on receipt of final payment.
  6. Late payment. Payments are due 30 days net of the invoice date. Accounts that have not been settled will incur a late payment charge of £70, plus interest charged at the Bank of England base rate plus eight per cent (as provided for in the Late Payment of Commercial Debts Regulations 2002).
  7. Meetings and travel. Once work has been agreed, all meetings are chargeable, including travel time.
  8. Domain registration. All third party costs arising from the registration of a domain name shall be met by the client. It is the client’s responsibility to renew their domain names, and Hallworth Design cannot be held liable for domains which expire. However, we will make reasonable effort to contact you regarding domain renewal.
  9. Hosting (Hallworth Design). Hallworth Design will host the website if you require us to do so and on receipt of full payment of our hosting fees. We will endeavour to provide a reliable and professional support service but cannot guarantee uptime, and cannot accept liability for losses caused by the unavailability, malfunction or interruption of the hosting service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
  10. Hosting renewal (Hallworth Design). Hosting renewal is due on a yearly basis. The date of renewal will be annually from the date the website was ordered by the client. The hosting will not be renewed if we cannot contact the client or the client requests for us to not host this site. We reserve the right to deactivate any website where the hosting has expired and the client has not paid the renewal charge.
  11. Hosting (client). When Hallworth Design recommends hosting companies, no guarantees can be made by Hallworth Design as to the availability or lack of interruption to such services.
  12. Testing. You are expected to test fully any application or programming relating to a website developed by Hallworth Design before it is made live for use. Where bugs, errors or other issues are found after the site is live, Hallworth Design will endeavour to correct these issues to meet the standards of function outlined in the brief free of charge for the first 4 months.
  13. Support. The website is provided to and accepted by you as a fully functioning, completed work. Ongoing support can normally be provided upon request and for an agreed fee.
  14. Data loss. You have sole responsibility for any information or files relating to your website. In the event of data loss on the hosting service, Hallworth Design will endeavour, without obligation, to provide a recent backup of the web pages and database content. However, the site is the responsibility of the client and the client should keep regular backups of the site, unless a special arrangement has been made with Hallworth Design to provide such a service.
  15. SEO. We can provide search engine optimisation and ongoing site promotion for an agreed fee; otherwise you are responsible for these issues. The order in which websites are ranked in the natural search results is controlled by the search engines. While your site can be optimised for this, no guarantees can be made about the success of any search engine promotion activity.
  16. Copyright (design). Hallworth Design asserts its copyright over work created for the client; this right transfers to the client upon final payment for the work. Hallworth Design retains moral rights to the work, meaning that we assert the right of attribution, the right to have the work published anonymously or pseudonymously, and the right to the integrity of the work.
  17. Asset provision. If you agree to provide Hallworth Design with content required to complete the design work, and subsequently fail to do so within four weeks of project commencement, Hallworth Design reserves the right to close the project and the balance remaining becomes payable immediately.
  18. Copyright (content). Usage fees and copyright clearance of website content are the sole responsibility of the client. Should any legal issues arise from the content or copyright of any assets supplied by the client or Hallworth Design, they will be the sole responsibility of the client.
  19. Browser compatibility. Hallworth Design will endeavour to ensure that our code is standards-compliant, displaying and functioning correctly on standards-compliant browsers (e.g. Firefox 2.0+), as well as Internet Explorer 7+. Compatibility with other browsers must be agreed as part of the contract.
  20. General liability. Hallworth Design cannot be held responsible for anything adversely affecting the client’s business operation, sales, or profitability that they might claim is a result of a service offered by Hallworth Design. We will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines. We will not be liable or become involved in any disputes between the site owner and their clients and can not be held responsible for any wrongdoing on the part of a site owner.
  21. Complaints procedure. We hope you are happy with our service, but if not, please raise the matter in writing or by email to info@72dots.co.uk, clearly outlining the grounds for complaint. We will respond within 3 days, and make a full and considered response to the complaint within 7 days. Any subsequent remedy will be implemented with the minimum of delay.

Definitions: A ‘client’ (or ‘you’) is a person, persons, business or organisation using any of the services provided by Hallworth Design. ‘Domain’ is the website address as specified by the client. ‘Hosting Fees’ are a yearly cost to keep a clients website activated online. ‘Content’ refers to the text, video, audio and images that the client requires on the website. ‘We’ refers to Hallworth Design Ltd.
